The agreement between you and us.

1. Who we are

Sapphire Botanics Inc. is a corporation incorporated in Ontario, Canada, with its registered office at 10 Thornmount Drive, Scarborough, Ontario M1B 3J4. Throughout these Terms, "Sapphire Botanics," "we," "us," and "our" refer to Sapphire Botanics Inc. "You" and "your" refer to any person who accesses the site or purchases our products.

2. Eligibility and your account

You must be at least eighteen years old to purchase our products or create an account. By placing an order, you represent that you are of legal age in your province, state, or country of residence, and that the information you provide is accurate and complete.

If you create an account, you are responsible for keeping your credentials confidential and for any activity that occurs under your account. Notify us immediately if you believe your account has been compromised.

3. Products, pricing, and orders

Product descriptions

We take reasonable care to describe and photograph our products accurately. However, product photography, colours, and packaging details on the site may vary slightly from the physical product due to natural variation in our plant-based ingredients, screen rendering, and packaging updates.

Pricing and currency

Prices on the site are displayed in the currency you have selected (Canadian Dollars or US Dollars). Applicable taxes, duties, and shipping costs are calculated at checkout. We reserve the right to change prices and to correct pricing errors at any time before your order is accepted.

Order acceptance

Your order is an offer to purchase. A contract is formed only when we send you an order confirmation by email. We reserve the right to refuse or cancel any order, including where:

• A product is out of stock or no longer available.
• There is an obvious pricing or description error.
• We suspect fraud, unauthorized payment, or breach of these Terms.
• We are unable to ship to the address provided.

If we cancel an order after you have paid, we will refund the amount charged to your original payment method.

Payment

Payment is processed through Shopify Payments and, where available, Shop Pay, PayPal, Apple Pay, and Google Pay. You authorize us and our payment processors to charge your selected payment method for the total amount of your order. We do not store your full payment card details.

4. Shipping, returns, and refunds

Shipping timelines, carriers, and costs are set out on our Shipping & Delivery page. Return eligibility, timeframes, and process are set out on our Returns page. Both pages are incorporated into these Terms by reference.

In summary, we offer a thirty-day return window from the date of delivery. Customers are responsible for return shipping unless the product arrives damaged or defective. Refunds are processed to the original payment method within seven to fourteen business days of receiving the returned item.

5. Product safety and cosmetic disclaimer

Every Sapphire Botanics product is formulated with plant-based botanicals. Even natural ingredients can cause individual reactions. You agree that:

• You will read all ingredient information before use.
• You will perform a patch test on a small area of skin at least twenty-four hours before first full application.
• You will discontinue use immediately and consult a medical professional if you experience any irritation, rash, allergic reaction, or other adverse effect.
• You will not use our products on broken, wounded, or actively infected skin.
• You will consult your physician before use if you are pregnant, breastfeeding, have a known allergy, have a skin condition being treated by a healthcare provider, or are taking topical or oral medications that affect the skin.

Results vary from person to person. Any percentages, timelines, or outcomes referenced on the site, in marketing, or in customer testimonials are self-reported by participants in consumer perception studies or by individual customers and are not a guarantee of results for any particular person.

6. Acceptable use of the site

You agree to use the site only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the site. Specifically, you agree not to:

• Use the site to transmit or distribute malware, spam, chain messages, or unauthorized advertising.
• Scrape, copy, or republish our content for commercial purposes without our written permission.
• Attempt to gain unauthorized access to the site, any account, or any system connected to the site.
• Interfere with the operation of the site or any other user's enjoyment of it.
• Use the site to engage in any activity that violates applicable law.

We may suspend or terminate your access to the site at any time if we reasonably believe you have breached these Terms.

7. Intellectual property

All content on the site, including but not limited to the Sapphire Botanics name and logo, product names (including Night Repair Elixir, Bio Retinol Elixir, and Power Couple), product photography, copy, the Ayurvedic Dosha Intelligence and Targeted Phytochemistry framework terminology, formulation descriptions, customer testimonials we display, and the overall look and feel of the site, is owned by Sapphire Botanics Inc. or our licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access the site and view its content for your own personal, non-commercial shopping and reference use. You may not copy, reproduce, modify, distribute, sell, publicly display, or create derivative works from any part of the site or its content without our prior written permission.

8. Reviews, photos, and other submissions

If you submit a review, photo, video, testimonial, comment, or other content to our site or to a platform we use (including Loox and our social media channels), you represent that the content is your own, is accurate, does not violate anyone's rights, and does not contain anything unlawful, defamatory, or obscene.

By submitting content, you grant Sapphire Botanics Inc. a worldwide, non-exclusive, royalty-free, perpetual, transferable, sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display that content in any media, including in our marketing, our website, our email communications, paid advertising, and our retail materials. You waive any moral rights you have in the content to the extent permitted by law.

We may, but are not required to, review, edit, or remove any submitted content.

9. Third-party links and services

The site may contain links to third-party websites and may integrate services provided by third parties (for example, payment processors, review platforms, and shipping carriers). We do not control those websites or services and are not responsible for their content, policies, or practices. Your use of a third-party website or service is governed by that third party's own terms and privacy policy.

10. Disclaimers

The site and our products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or trade usage.

We do not warrant that the site will be uninterrupted, error-free, secure, or free of viruses. We do not warrant any specific skin or cosmetic result from using our products.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Where an implied warranty cannot be excluded, it is limited to the shortest period permitted by applicable law.

11. Limitation of liability

To the maximum extent permitted by law, Sapphire Botanics Inc., its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, or loss of goodwill, arising out of or in connection with your use of the site or our products, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or related to these Terms, the site, or our products is limited to the greater of the amount you paid us for the product that is the subject of the claim, or one hundred Canadian dollars.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

12. Indemnification

You agree to indemnify and hold harmless Sapphire Botanics Inc. and its directors, officers, employees, contractors, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your breach of these Terms; your violation of any law or the rights of a third party; or your misuse of the site or our products.

13. Dispute resolution and class action waiver

Before filing a formal claim, you agree to first contact us at hello@sapphirebotanics.com to attempt to resolve the dispute informally. We will do the same.

If the class action waiver above is found to be unenforceable in your jurisdiction, the remaining provisions of this Section will continue to apply.

14. Governing law and jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or in connection with these Terms, the site, or our products will be subject to the exclusive jurisdiction of the courts of the Province of Ontario, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the "Effective" date at the top. Your continued use of the site after the updated Terms are posted constitutes your acceptance of the changes. If a change is material, we will make reasonable efforts to notify active customers by email.

16. General

Entire agreement. These Terms, together with our Privacy Policy, Shipping & Delivery policy, and Returns policy, constitute the entire agreement between you and us regarding your use of the site and our products.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce a provision of these Terms does not waive our right to enforce it in the future.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or similar transaction.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, pandemics, labour disruptions, carrier delays, acts of government, or interruptions of internet or telecommunications services.
